1. Agreement to Terms
These Terms of Service (“Terms”) govern your use of the Structor Group website and services. By accessing our website at structor.group or engaging our services, you agree to be bound by these Terms. If you disagree with any part of these terms, you may not access our website or use our services.
2. Services
Structor Group provides web development, digital marketing, and custom software solutions for businesses. Our services include but are not limited to:
- Website design and development
- Social media management and marketing
- Search engine optimization (SEO)
- Custom software development
- Digital consulting services
Specific services, deliverables, timelines, and pricing will be outlined in a separate service agreement or proposal provided to you before commencing work.
3. Client Responsibilities
As our client, you agree to:
- Provide accurate and complete information necessary for the project
- Respond to requests for feedback, approvals, and content in a timely manner
- Ensure all content you provide does not infringe on third-party rights
- Make payments according to the agreed schedule
- Maintain confidentiality of any proprietary information shared
4. Payment Terms
Website Development Projects
- A 50% deposit is required to begin work
- The remaining 50% is due upon project completion before launch
- Payments are non-refundable once work has commenced
Marketing Services
- Monthly services are billed at the beginning of each month
- A minimum 3-month commitment is required for marketing packages
- Cancellation requires 30 days written notice
Late payments may result in service suspension and will incur a late fee of 1.5% per month on outstanding balances.
5. Intellectual Property
Client Materials
You retain ownership of all content, logos, trademarks, and other materials you provide to us for use in your project.
Deliverables
Upon full payment, you will own the custom work created specifically for your project. This includes custom designs, content, and code developed for you.
Third-Party Assets
Some projects may incorporate third-party assets (stock photos, fonts, plugins, etc.) that are subject to their own licensing terms. We will inform you of any such assets and their licensing requirements.
Portfolio Rights
We reserve the right to showcase completed projects in our portfolio and marketing materials unless otherwise agreed in writing.
6. Project Timelines
Estimated timelines are provided in good faith based on the project scope. Final delivery dates may be affected by:
- Delays in receiving client feedback or materials
- Scope changes or additional requests
- Technical complications beyond our control
- Third-party dependencies
We will communicate any significant delays and work to minimize impact on your project.
7. Revisions and Changes
Our packages include a specified number of revision rounds. Additional revisions or scope changes beyond the original agreement may incur additional fees, which will be communicated and approved before proceeding.
8. Warranties and Disclaimers
We strive to deliver high-quality services and stand behind our work. However:
- Services are provided “as is” without warranties of any kind, express or implied
- We do not guarantee specific results from marketing services (traffic, rankings, conversions)
- We are not responsible for third-party services, platforms, or hosting providers
- Website performance depends on various factors including hosting, content, and user behavior
9. Limitation of Liability
To the maximum extent permitted by law, Structor Group shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of our services. Our total liability shall not exceed the amount paid by you for the specific service giving rise to the claim.
10. Termination
Either party may terminate the service agreement with written notice. Upon termination:
- You will be responsible for payment of all work completed up to the termination date
- Any deposits paid are non-refundable
- We will provide you with all work completed to date
- You must cease using any materials not fully paid for
11. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary information shared during the course of our business relationship. This includes business strategies, customer data, pricing information, and technical specifications.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. For clients in Canada, the laws of the Province of Ontario shall apply.
13. Dispute Resolution
Any disputes arising from these Terms or our services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
14. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after changes constitutes acceptance of the modified Terms.
